TERMS OF USE AND MEMBERSHIP AGREEMENT

IMPORTANT NOTICE
These Terms constitute a legally binding agreement between you and Chasefit Sdn. Bhd.
Please read them carefully before registering or participating in any Chase services.
By accessing our services, you confirm that you have read, understood, and agree
to be fully bound by these Terms. If you do not agree, do not use our services.
PART A — DEFINITIONS
The following defined terms apply throughout this Agreement:
* “Agreement” or “Terms” means these Terms of Use and Membership Agreement, together with the Privacy Policy, Health Declaration, and any Additional Terms.
* “Chase,” “we,” “us,” “our” means Chasefit Sdn Bhd (Company Registration No. [202302028473 (1512395-A)]), its subsidiaries, affiliates, officers, directors, employees, agents, instructors, and representatives.
* “Member” or “you” means any individual who registers for, accesses, or uses Chase’s Services in any capacity.
* “Services” means all classes, facilities, digital platforms, mobile applications, websites, products, credits, subscriptions, and any other offerings provided by Chase.
* “Facilities” means Chase’s physical studio premises, equipment, locker rooms, common areas, and any other physical infrastructure made available to Members.
* “Classes” means all instructor-led group or private fitness sessions offered by Chase, including Indoor Cycling, Reformer Pilates, Bootcamp, Fundamentals, Community Classes, and Private Sessions.
* “Credits” means prepaid digital tokens purchased by a Member and used to book Classes or access certain Services.
* “Paid Services” means any Services, credits, packages, or subscriptions that require payment, as distinguished from complimentary or promotional offerings.
* “Content” means all text, images, video, audio, data, software, and other materials made available through the Services.
* “User Submissions” means any content, data, or material uploaded, submitted, or transmitted by a Member through the Services.
* “Personal Data” has the meaning ascribed to it under the Personal Data Protection Act 2010 (Malaysia).
* “PAR-Q” means the Physical Activity Readiness Questionnaire completed by a Member prior to participation.
* “Force Majeure Event” means any event beyond Chase’s reasonable control, including acts of God, pandemic, epidemic, government action, civil unrest, fire, flood, or failure of utility services.
PART B — ACCEPTANCE AND ELIGIBILITY
1. Acceptance of Terms
   1. By accessing, registering for, or using any Chase Service, you confirm that:
      1. You have read, understood, and agree to be bound by these Terms in their entirety;
      2. You meet the eligibility requirements set out in Clause 2;
      3. You have completed the Health Declaration in Schedule A truthfully and in full; and
      4. You consent to the collection and processing of your Personal Data in accordance with Chase’s Privacy Policy and the Personal Data Protection Act 2010 (PDPA).
   2. Your continued use of any Service constitutes ongoing acceptance of the then-current version of these Terms. These Terms supersede all prior agreements, representations, and understandings between you and Chase with respect to the Services.
2. Eligibility
   1. Age Requirements. Chase Services are open to individuals aged 18 years and above. Individuals between the ages of 15 and 17 (“Minors”) may access the Services only where:
      1. A parent or legal guardian has provided written consent and co-signed the registration; and
      2. The parent or legal guardian accepts full legal responsibility for the Minor’s compliance with these Terms, the Health Declaration, and all studio policies.
   2. Minors under the age of 15 are not permitted to access or participate in Chase Services under any circumstances.
   3. Chase reserves the right to request proof of age at any time. Where a Minor is found to have registered without proper authorisation, Chase may immediately terminate that account without refund.
   4. Legal Capacity. By agreeing to these Terms, you represent and warrant that you have the legal capacity to enter into a binding contract under Malaysian law. If you are agreeing on behalf of a company or other legal entity, you represent that you are duly authorised to bind that entity.
   5. Residency. Paid Services are available exclusively to residents of Malaysia. By purchasing any Paid Service, you represent that you are ordinarily resident in Malaysia.
2. Changes to These Terms
   1. Right to Amend. Chase reserves the right to amend these Terms at any time. Material amendments will be communicated to you via email to your registered address or through a prominent notice on the Chase app or website at least 14 days prior to the effective date of the change.
   2. Acceptance of Amendments. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree with any amendment, you must cease using the Services before the effective date.
   3. Non-Waiver. No oral or informal modification to these Terms shall be valid or binding. Any written amendment agreed between the parties must be signed by an authorised representative of Chase.
PART C — MEMBERSHIP AND ACCOUNT
3. Account Registration
   1. Registration Requirements. To access the Services, you must register for an account using a valid email address and create a secure password. You agree to:
      1. Provide accurate, complete, and current information during registration;
      2. Maintain and promptly update your account information;
      3. Maintain the security of your account credentials and accept responsibility for all activity under your account; and
      4. Notify Chase immediately at community@chasefit.my upon discovering any unauthorised access or security breach.
   2. Account Confidentiality. You must not share your account credentials with any third party. Chase is not liable for any loss or damage resulting from your failure to maintain account security. Accounts are strictly non-transferable.
   3. Accuracy of Information. Chase is entitled to rely on the information you provide. You are solely responsible for any consequences arising from inaccurate or incomplete information in your account.
4. Conduct and Studio Standards
   1. General Conduct. All Members are expected to conduct themselves in a manner consistent with a premium fitness environment. Chase operates a zero-tolerance policy with respect to:
      1. Discriminatory, harassing, threatening, or offensive behaviour toward any member, instructor, or staff member;
      2. Conduct that endangers the health or safety of others;
      3. Damage to Chase property or equipment; and
      4. Any form of disruptive conduct that interferes with the experience of other Members.
Chase reserves the right to immediately suspend or permanently terminate the membership of any Member found to have breached this clause, without refund.
   2. Dress Code. Appropriate athletic attire is required in all studio spaces. Members must wear closed-toed athletic shoes during Bootcamp sessions. Grip socks are required for Reformer Pilates. Chase staff may deny entry to any Member who does not comply with the dress code.
   3. Personal Hygiene. Out of consideration for all Members and staff, appropriate personal hygiene is required. Chase reserves the right to ask a Member to leave the studio if their hygiene poses a reasonable concern to others.
   4. Studio Rules. Members must comply with all posted safety signs, studio rules, and verbal instructions from Chase instructors and staff at all times. This includes but is not limited to:
      1. Only water is permitted in studio workout spaces;
      2. Personal belongings must be stored in the designated lockers provided;
      3. Mobile phones must be silenced during class;
      4. Recording or photography of other Members without their express consent is strictly prohibited; and
      5. Late arrivals will not be admitted once a class has commenced.
   5. Guest Policy. Members may bring guests only with prior approval from Chase management and are subject to any applicable guest fees or arrangements as notified by Chase from time to time. Guests are subject to these Terms in full and the Member is responsible for ensuring their guest’s compliance.
5. Photography, Filming, and Image Rights
   1. Chase’s Rights. Chase may photograph or film classes, events, and studio activities for marketing and promotional purposes. By participating in Chase classes or events, you consent to being photographed or filmed and grant Chase a royalty-free, perpetual, worldwide licence to use such images or footage for promotional purposes, including on social media, the Chase website, and in marketing materials.
   2. Consent to be Filmed or Photographed. By attending any Chase class, event, community session, run club, or other Chase-facilitated activity (whether held on-site or off-site), you unconditionally consent to being photographed, filmed, or otherwise recorded by Chase or its authorised representatives.
   3. License to Use Your Likeness. You grant Chasefit Sdn. Bhd. a royalty-free, perpetual, irrevocable, worldwide, non-exclusive licence to use, reproduce, edit, distribute, and publicly display your name, image, voice, likeness, and any recording of your participation (“Likeness”) for any marketing, promotional, commercial, or editorial purpose, including but not limited to:
      6. Chase’s social media accounts and digital platforms;
      7. Paid and unpaid advertising and promotional materials;
      8. Chase’s website, email communications, and press materials; and
      9. Any other media whether now existing or developed in the future.
No compensation, credit, or further approval from you is required for any such use.
   4. Right to Opt Out. If you do not wish to be photographed or filmed, you must notify Chase staff in writing before your class or event commences. Chase will make reasonable efforts to accommodate your request, but cannot guarantee exclusion in group settings or publicly accessible outdoor environments.
   5. Professional Filming and Commercial Collaborations. Any use of professional filming equipment at Chase premises, whether by a member, third party, brand, or collaborator, requires Chase’s prior written approval. All proposed content, usage intent, and distribution channels must be submitted to Chase management for review and approval before filming commences. Unauthorised professional filming on Chase premises may result in immediate removal and account termination.
PART D — HEALTH, SAFETY, AND ASSUMPTION OF RISK
6. Health Declaration and Physical Readiness
   1. Mandatory Health Declaration. Completion of Chase’s Physical Activity Readiness Questionnaire (PAR-Q) (Schedule A) is a mandatory condition of participation. By registering, you confirm that you have completed the PAR-Q honestly and in full.
   2. Medical Clearance. If you have answered “Yes” to any question on the PAR-Q, or if Chase’s staff reasonably believe that your participation may pose a physical risk, Chase reserves the right to deny your access to any Class until you provide written medical clearance from a registered medical practitioner, at your own cost.
   3. Ongoing Duty to Disclose. You have a continuing obligation to inform Chase staff before each class of any new, worsening, or previously undisclosed medical condition, injury, or change in health status that may affect your safe participation. Failure to disclose may result in the immediate termination of your membership.
   4. Representations. By participating in any Class, you represent and warrant that:
      1. You are in good physical health and have no condition that makes participation inadvisable without medical supervision;
      2. You have not been advised by a physician to avoid physical activity;
      3. You do not have any bone, joint, or cardiovascular condition that could be aggravated by physical exercise;
      4. You are not pregnant or breastfeeding, unless your physician has expressly approved participation; and
      5. You are not currently taking prescription medication for a heart condition or high blood pressure, unless your physician has expressly approved participation.
7. Assumption of Risk
   1. Acknowledgement of Inherent Risk. You acknowledge and accept that participation in fitness activities, including Indoor Cycling, Reformer Pilates, Bootcamp, and all other Classes, carries inherent physical risks. These risks include, but are not limited to:
      1. Minor injuries including muscle strain, bruising, abrasions, and sprains;
      2. Moderate to serious injuries including joint injury, back injury, eye injury, rhabdomyolysis, and concussion;
      3. Severe injuries including cardiovascular events and cardiac arrest; and
      4. In extreme and rare cases, catastrophic injury, paralysis, or death.
You voluntarily accept and assume all such risks arising from your participation in Chase Classes and use of Chase Facilities.
   2. Equipment Risk. You acknowledge that the use of fitness equipment, including Reformer machines, cycling bikes, free weights, resistance bands, and any other equipment available at Chase, carries inherent risks. You agree to use all equipment only as instructed by Chase’s authorised staff.
   3. Waiver and Release. In consideration of being granted access to Chase’s Classes and Facilities, and to the fullest extent permitted by applicable Malaysian law, you:
      5. Assume full personal responsibility for all injuries, loss, or damage arising from your participation in any Chase Class or use of any Chase Facility;
      6. Unconditionally release and forever discharge Chase, its parent companies, subsidiaries, affiliates, officers, directors, instructors, employees, agents, and successors from all claims, demands, actions, suits, liabilities, costs, and damages arising out of or related to your participation; and
      7. Agree to indemnify and hold harmless Chase against any third-party claims arising from your participation.
IMPORTANT — LIMITS ON LIABILITY EXCLUSION
Nothing in this Agreement excludes or limits Chase’s liability for death or personal injury
caused by Chase’s proven negligence, or for any other liability that cannot be excluded
or limited under the Consumer Protection Act 1999 (Malaysia) or any other applicable law.
8. Medical Disclaimer
Chase does not provide medical advice, diagnosis, or treatment. All health, fitness, and nutritional information provided through the Services is for general informational purposes only and does not constitute professional medical advice. You should always consult a qualified medical professional before commencing any new fitness programme or making any health-related decisions.
Chase’s instructors are fitness professionals, not medical practitioners. No instructor-client relationship shall give rise to a medical professional-patient relationship of any kind.
9. Safety Instructions
You agree to read and comply with Chase’s Safety Instructions, which are available on our website and upon request in-studio. You must adhere to all posted safety signage, studio rules, and verbal instructions from Chase staff and instructors at all times.
Chase reserves the right to remove from a Class, without refund, any Member whose conduct or physical condition poses a risk to themselves or others, as determined at Chase’s sole discretion.
PART E — SERVICES[a][b][c][d], CLASSES, AND SCHEDULING
10. Class Formats
Chase currently offers the following class formats. Chase reserves the right to modify, suspend, or discontinue any class format at any time without prior notice:
   4. Indoor Cycling: A 45-minute rhythm-based cycling session designed to combine cardiovascular conditioning with full-body movement. Classes are instructor-led and music-driven.
   5. Reformer Pilates: Focuses on alignment, strength, and flexibility using Reformer machines. Suitable for all levels, with modifications available upon request.
   6. Bootcamp: A high-intensity fusion of strength training and interval conditioning targeting all major muscle groups.
   7. Fundamentals: An introductory format designed for newcomers or those refining technique. Members attending Fundamentals should arrive 15 minutes prior to commencement.
   8. Private Sessions: A 45-minute bespoke session customised to the Member’s schedule, goals, and preferences.
   9. Community Classes: Complimentary classes offered to support the Chase community. No credits required. Subject to availability and advance registration.
11. Class Scheduling and Booking
   1. Advance Booking. Classes may be booked up to 7-21 days in advance through the Chase app or website at chasefit.my.
   2. Instructor Substitutions. Chase does not guarantee the availability of specific instructors. Instructor substitutions may occur without prior notice. No refunds or credit returns will be issued on the basis of an instructor change alone.
   3. Class Changes and Cancellations by Chase. Chase reserves the right to reschedule, modify, or cancel any class due to operational requirements, insufficient bookings, Force Majeure Events, or any other reason at its discretion. Where a class is cancelled by Chase, the relevant credit will be returned to the Member’s account in full. Chase is not liable for any inconvenience, travel costs, or other losses arising from a class cancellation.
   4. Late Arrivals. Your reserved spot will be released once the class commences. Members arriving after a class has started will not be admitted. Chase will make reasonable efforts to rebook late arrivals into the next available session, subject to availability. Credits will not be refunded for late arrival.
Waitlist Policy and Notifications
   5. Automatic Allocations. If a class becomes fully booked, eligible members may join the waitlist via the Chase app or website. If a spot becomes available more than 12 hours before the scheduled class start time, the first member on the waitlist will be automatically allocated into the class. The relevant credit will be deducted at the point of allocation. It is the member’s sole responsibility to monitor their app notifications and registered email address for waitlist updates. Chase is not liable for any failure by a member to receive or act upon a waitlist notification, including where notifications are blocked, delayed, or directed to a spam folder. Once automatically allocated into a class, the standard cancellation policy applies in full. If you wish to cancel, you must do so at least 12 hours before the class start time to reclaim your credit.
   6. Short-Notice Openings (Within the 12-Hour Window). If a spot becomes available within 12 hours of the scheduled class start time, automatic waitlist allocation will not apply. Chase’s studio crew may, at their discretion, contact waitlisted members to offer the available spot. A member will only be added to the class and charged upon providing explicit verbal or written confirmation of their intention to attend. No credit will be deducted without such confirmation.
   7. Member Responsibility to Manage Waitlist Status. Members are responsible for removing themselves from a waitlist if they no longer intend to attend. Failure to remove yourself from a waitlist prior to the automatic allocation window may result in your credit being deducted and the standard no-show policy applying if you do not attend. Chase will not issue credit refunds in these circumstances.
12. Cancellation and No-Show Policy
The following cancellation policy applies to all Classes booked using credits:

   8. Penalty Fee Collection. All penalty fees will be charged to your registered Payment Method. Failure to pay any outstanding penalty fees may result in suspension of your booking privileges.
   9. Repeated No-Shows. Three or more no-show incidents within any rolling 30-day period may result in suspension of booking privileges or, at Chase’s discretion, termination of membership. Chase will provide written notice before taking such action.
   10. How to Cancel. Cancellations must be made via the Chase app (select “Unreserve”) or by contacting the studio directly. Cancellations communicated via social media, WhatsApp, or any other informal channel will not be accepted or processed.
   11. Early Departure. If you need to leave a class before it concludes, please inform your instructor beforehand as a matter of courtesy and safety.
13. 5-Day Unlimited Package — Specific Terms
   12. Validity: The package is valid for 5 consecutive calendar days commencing from the date of first usage.
   13. Booking: Classes may be booked up to 21 days in advance, subject to availability.
   14. Cancellation: The standard 12-hour cancellation window applies. Late cancellations within 12 hours incur a RM30 penalty fee. No-shows incur a RM35 penalty fee.
   15. Non-Transferable: This package is strictly personal and may not be transferred, shared, or resold to any third party.
14. Community Class — Specific Terms
   1. Registration: Advance registration is required via chasefit.my or the Chase app.
   2. One Class Per Day: Each Member is limited to one Community Class booking per day.
   3. Cancellation: The standard 12-hour cancellation window applies. Late cancellations within 12 hours incur a RM30 penalty fee. No-shows incur a RM35 penalty fee.
   4. Repeated No-Shows: Three or more no-show incidents may result in suspension of access to Community Classes.
15. Shared Package Policy
   1. Individual Swaps. The account holder of a shared package may request the replacement of an included individual. The first two swap requests are complimentary. From the third swap request onwards, a non-refundable administrative fee of RM100 per change applies.
   2. Process. Swap requests must be submitted to community@chasefit.my at least 7 days before the intended effective date, and must include the full name and email address of both the departing and incoming individual. Changes take effect upon receipt of any applicable administrative fee.
PART F — PAYMENTS, CREDITS, AND REFUNDS
16. Pricing and Payment
   1. Currency. All prices are displayed in Malaysian Ringgit (MYR). Sales and Service Tax (SST) will be applied where required by applicable law and will be displayed at checkout.
   2. Payment Methods. Chase accepts the following payment methods:
      1. Online: Debit and credit cards via the Chase website or app.
      2. In-Studio: Debit or credit cards; registered e-wallets for transactions below RM1,000.
   3. Payment Processors. Chase uses Stripe and Xendit as third-party payment processors. Payment processing is subject to the terms and privacy policies of the relevant processor. Chase is not responsible for errors made by payment processors, but will cooperate reasonably to resolve disputes.
   4. Billing Accuracy. You are responsible for maintaining accurate and current billing information in your account, including your card number, expiry date, and billing address. Chase is not liable for failed transactions resulting from outdated payment information.
   5. Price Changes. Chase reserves the right to amend pricing at any time. Changes to pricing will be communicated in accordance with Clause 3. Existing prepaid credits and packages will not be affected by prospective price changes.
17. Credit Packages and Activation
   1. Activation. A credit package activates upon the date of the Member’s first class booking. All credits within the package are unlocked from this date, and the validity period commences accordingly.
   2. Expiry. Credits expire at the end of the validity period applicable to the package purchased, as specified at the time of purchase. Expired credits are forfeited and cannot be reinstated, extended, or refunded except in accordance with the Freeze Policy (Clause 21).
   3. Non-Transferable. Credits are personal to the purchasing Member and may not be transferred, gifted, or sold to any third party, except where expressly permitted under a shared package arrangement.
   4. Personal Use Only. Credits and Services are for personal use only. Any resale, commercial use, or distribution of credits is strictly prohibited and may result in immediate account termination without refund.
18. Subscriptions Plans – Terms and Conditions
Monthly Subscription Plans — Overview
   5. Chase offers the following monthly subscription plans (“Subscription Plans”) as an alternative to one-time credit package purchases. Each Subscription Plan provides a fixed allocation of class credits (“Monthly Credits”) deposited into the member’s account at the start of each billing cycle.
   6. All Subscription Plans are subject to these Terms, the cancellation policy in Clause 13, and the specific conditions set out in this Clause 19.
Available Subscription Tiers
   7. The following Subscription Plans are currently offered. Chase reserves the right to amend pricing, credit allocations, and plan inclusions at any time, subject to Clause 3 (Changes to These Terms).

   8. Introductory Pricing — Starter Plan only: New subscribers to the Starter Plan will be charged RM99 per month for the first 4 months, after which the plan automatically transitions to the standard rate of RM149 per month. The introductory rate is available to first-time Essential Plan subscribers only and may not be applied retroactively or combined with any other promotion.
   9. Class Access by Tier:
      1. Starter: Cold Plunge, Bootcamp, Indoor Cycling, Mat Pilates (Reformer Pilates excluded)
      2. Essential: Cold Plunge, Bootcamp, Indoor Cycling, Mat Pilates (Reformer Pilates excluded)
      3. Core: Cold Plunge, Bootcamp, Indoor Cycling, Mat Pilates (Reformer Pilates excluded)
   10. Reformer Pilates access is not included in any Subscription Plan. Members wishing to attend Reformer Pilates classes must purchase a separate credit package.
Minimum Commitment Period
   11. Starter Plan: A minimum commitment of 6 consecutive months is required. You may not cancel, downgrade, or suspend your Starter Plan subscription before the expiry of the minimum commitment period, except in accordance with the medical suspension provisions in Clause 19.14.
   12. Essential and Core Plans: A minimum commitment of 6 consecutive months is required. You may not cancel, downgrade, or suspend your Essential or Core subscription before the expiry of the minimum commitment period, except in accordance with Clause 19.14.
   13. Early termination of a Subscription Plan prior to the expiry of the minimum commitment period is not permitted. Where a member ceases payment before the minimum commitment period has elapsed, Chase reserves the right to recover all outstanding subscription fees for the remainder of the committed period as a debt due and payable immediately.
Billing and Auto-Renewal
   14. Subscription Plans are billed monthly in advance on the same date each month (“Billing Date”), corresponding to the date of the member’s first subscription payment.
   15. Unless cancelled in accordance with Clause 19.13, each Subscription Plan will automatically renew on the Billing Date for successive one-month periods at the then-current rate. By subscribing, you authorise Chase to charge your registered Payment Method on a recurring monthly basis without further authorisation, until your subscription is validly cancelled.
   16. Chase will provide reasonable advance notice of any change to your monthly subscription rate in accordance with Clause 3.
   17. Cancellation After Minimum Commitment Period.  Following the expiry of the minimum commitment period, you may cancel your Subscription Plan at any time by submitting a written cancellation request to community@chasefit.my or through your account settings. Cancellation requests must be received at least 7 days before the next Billing Date to take effect for that billing cycle. Requests received less than 7 days before the Billing Date will take effect in the following cycle, and the upcoming payment will be processed as scheduled.
      4. Upon cancellation, you will retain access to your Subscription Plan and any remaining Monthly Credits until the end of the current paid billing period. No prorated refunds will be issued for any unused portion of the current month.
      5. Add-On Classes. Members on the Essential and Core plans may book classes beyond their Monthly Credit allocation at a rate of RM45 per additional class. Add-on classes are charged to the member’s registered Payment Method at the time of booking and are non-refundable once booked, subject to the standard cancellation policy in Clause 13.
      6. Add-on classes are not available under the Starter Plan.

Subscription Freeze and Suspension.
   18. Members on any Subscription Plan may request a subscription freeze in accordance with the Freeze Policy in Clause 18. The following additional conditions apply to Subscription Plan freezes:[e][f][g][h][i]
      1. Medical Freeze. A subscription freeze for medical reasons may be granted during the minimum commitment period, subject to submission of satisfactory medical documentation. The minimum commitment period will be extended by the duration of the approved freeze. Monthly billing will be suspended for the duration of an approved medical freeze.
      2. Non-Medical Freeze. A non-medical freeze is not available during the minimum commitment period. Following expiry of the minimum commitment period, one non-medical freeze of up to 30 days may be requested per subscription year. Monthly billing will be suspended for the duration of an approved non-medical freeze.
      3. The RM80 administrative fee applies to all freeze requests as set out in Clause 21.
Plan Changes (Upgrade or Downgrade)
   19. Upgrades. A member may upgrade to a higher Subscription Plan tier at any time. The upgrade will take effect from the next Billing Date. Any difference in subscription fee will be charged pro-rata for the remainder of the current billing cycle, or adjusted on the next Billing Date, at Chase’s discretion.
   20. Downgrades. Downgrades to a lower Subscription Plan tier are not permitted during the minimum commitment period. Following the expiry of the minimum commitment period, a member may request a downgrade by providing written notice to community@chasefit.my at least 7 days before the next Billing Date. The downgrade will take effect from the following billing cycle.
Credit Allocation, Rollover, and Add-Ons.
   21. Monthly Credit Allocation. Monthly Credits are deposited into the member’s account at the commencement of each billing cycle. Credits are valid to use during the billing cycle in which they are deposited only.
   22. No Rollover – Subscription Plans. For the avoidance of doubt, unused Monthly Credits allocated under any Subscription Plan do not roll over to any subsequent billing cycle under any circumstances. Any Monthly Credits that remain unused at the end of the billing cycle in which they were deposited will automatically expire and be permanently forfeited. No refund, compensation, credit transfer, or substitute benefit will be issued in respect of expired Monthly Credits.
This no-rollover policy applies regardless of the reason the credits were unused, including illness, travel, personal circumstances, or failure to book. Members are encouraged to plan their class schedule in advance to make full use of their Monthly Credit allocation each cycle.
   23. Non-Transferability. All Subscription Plans are strictly personal to the subscribing member. Subscription credits, class access, and plan benefits may not be shared, transferred, gifted, or used by any person other than the registered account holder. Any attempt to share or transfer a Subscription Plan will be treated as a material breach of these Terms and may result in immediate plan termination without refund of any prepaid subscription fees.
   24. Auto-Renewal. Where you subscribe to a recurring membership or subscription, your subscription will automatically renew for successive periods of the same duration at the then-current rate, unless you cancel before the end of the current billing cycle.
   25. Cancellation of Subscription. You may cancel your subscription at any time via your account settings or by contacting community@chasefit.my. Cancellation takes effect at the end of the current billing period. You will retain access to the Services until expiry of the period for which you have paid. No prorated refunds will be issued for partial periods.
   26. Recurring Authorisation. By subscribing, you authorise Chase to charge your registered Payment Method on a recurring basis until you cancel. You are responsible for ensuring your Payment Method remains valid and sufficient.
   27. Reformer Pilates – Exclusion Notice. For the avoidance of doubt, Reformer Pilates classes are expressly excluded from all current Subscription Plans. Access to Reformer Pilates requires the purchase of a separate credit package at the rates published on chasefit.my. Chase reserves the right to introduce a Reformer-inclusive subscription tier in the future, subject to separate terms and pricing.
19. Refund Policy
   1. General No-Refund Policy. All purchases of credits, class packages, and memberships are final. Chase does not offer refunds, cancellations, or exchanges once a purchase has been completed, except as expressly set out below or as required by applicable Malaysian law.
   2. Exceptional Circumstances. Chase may, at its sole and absolute discretion, consider a credit refund or account credit in the following limited circumstances, subject to satisfactory supporting documentation:
      4. A verified, permanent medical condition (confirmed by a registered medical practitioner) that prevents the Member from participating in physical activity for the remaining duration of the package; or
      5. Chase permanently ceases to offer the class format or service type for which the credit was purchased, and no reasonable alternative is provided.
      6. Any approved refund will be issued as account credit. Cash refunds will only be provided where required by law.
   3. Consumer Rights. Nothing in this clause limits your statutory rights under the Consumer Protection Act 1999 (Malaysia) or any other applicable legislation.
   4. Fraudulent Chargebacks. Any fraudulent or unjustified chargeback request will be treated as a breach of these Terms. Chase reserves the right to terminate the account of any Member who initiates a fraudulent chargeback, and to pursue recovery of such amounts through appropriate legal channels.
20. Freeze Policy
Chase understands that circumstances may prevent Members from attending classes during their package validity. The following Freeze Policy applies:

   5. Each package is eligible for one freeze only.
   6. Requests must be submitted to community@chasefit.my at least 7 days before the desired freeze start date, accompanied by supporting documentation where required.
   7. All requests are subject to approval by Chase management.
   8. During the freeze period, credits will not expire but will be unavailable for use.
   9. Upon expiry of the freeze period, the package automatically resumes with the remaining validity intact.
21. Coffee Bar and Ancillary Services
   1. Credit Requirement. Chase’s Coffee Bar operates exclusively within the Chase credit system. Coffee and beverages may only be purchased using credits. No cash or external payment will be accepted at the Coffee Bar.
   2. Eligible Packages. Coffee Bar access requires purchase of the 50-credit or 100-credit package. Credits are deducted at the point of purchase. Members are responsible for ensuring sufficient credit balance prior to ordering.
   3. Credit Value. For the purposes of the Chase Coffee Bar, credits are assigned a fixed monetary value of RM1 per credit (1 credit = RM1). This conversion rate applies exclusively to Coffee Bar transactions and does not constitute a general cash value or redemption right for class credits under any other Chase policy.
   4. No Substitutions or Refunds – General Rule. All Coffee Bar orders are final once prepared. Credits deducted for a Coffee Bar order will not be reinstated to a member’s account under any circumstances, except in the following limited cases:
      1. The order was prepared incorrectly due to an error by Chase staff;
      2. The item delivered was damaged, spoiled, or did not meet reasonable hygiene standards.
      3. Where a valid exception applies, the relevant credits will be reinstated to the member’s account. Cash refunds will not be issued under any circumstances.
PART G — DATA PROTECTION AND PRIVACY
22. Personal Data Protection
   1. PDPA Compliance. Chase processes your Personal Data in accordance with the Personal Data Protection Act 2010 (PDPA). By registering for and using the Services, you consent to the collection, use, processing, and disclosure of your Personal Data as described in Chase’s Privacy Policy, which is incorporated into these Terms by reference and is available at chasefit.my.
   2. Sensitive Health Data. In connection with the Services, Chase may collect health-related information, including your PAR-Q responses and any disclosed medical conditions. This information is collected solely for the purpose of ensuring your safe participation in Chase Classes and is processed in accordance with the PDPA.
   3. Member Rights. You have the right to access, correct, and withdraw consent for the processing of your Personal Data, subject to applicable law and any overriding legitimate interest of Chase. To exercise these rights, contact Chase at community@chasefit.my.
   4. Data Security. Chase implements reasonable technical and organisational measures to protect your Personal Data against unauthorised access, loss, or disclosure. However, no method of transmission or storage is completely secure, and Chase does not warrant the absolute security of your data.
   5. Children’s Data. Chase does not knowingly collect Personal Data from individuals under the age of 13. If Chase becomes aware that Personal Data has been collected from a person under 13 without appropriate consent, it will take prompt steps to delete such information. Please contact community@chasefit.my if you believe this has occurred.
   6. Marketing Communications. By registering for the Services, you consent to receiving communications from Chase regarding your account, class bookings, and promotional offerings. You may opt out of marketing communications at any time by following the unsubscribe instructions in any communication or by contacting us directly.
PART H — INTELLECTUAL PROPERTY
23. Chase Intellectual Property
All intellectual property rights in the Services, Content, Chase brand, trademarks, logos, trade dress, and proprietary systems are and shall remain the exclusive property of Chasefit Sdn Bhd. Nothing in these Terms transfers or grants any intellectual property rights to you, except the limited licence expressly set out in Clause 25.
24. Licence to Use the Services
Subject to your compliance with these Terms, Chase grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your own personal, non-commercial fitness purposes. This licence does not permit you to:
   7. Copy, reproduce, modify, distribute, or commercialise any Content;
   8. Create derivative works based on any Chase Content;
   9. Reverse engineer, decompile, or attempt to extract the source code of any Chase software or application;
   10. Use Chase’s name, logo, or brand without prior written consent; or
   11. Access the Services for any purpose other than lawful personal use.
This licence terminates immediately upon any breach of these Terms or termination of your account.
25. User Submissions
   1. Ownership. You retain ownership of any User Submissions you contribute to the Services. By submitting User Submissions, you grant Chase a royalty-free, perpetual, sublicensable, irrevocable, and worldwide licence to use, reproduce, adapt, publish, translate, and distribute your User Submissions solely to the extent necessary to operate the Services.
   2. Standards. You represent and warrant that all User Submissions comply with applicable law and do not infringe the intellectual property or other rights of any third party. You must not submit User Submissions that are offensive, defamatory, sexually explicit, or otherwise inappropriate.
   3. Removal. Chase reserves the right to remove any User Submission at any time, for any reason, without prior notice.
26. Copyright Infringement — DMCA-Equivalent Procedure
Chase respects intellectual property rights and complies with the Copyright (Amendment) Act 2022 (Malaysia). If you believe that any Content on the Services infringes your copyright, please submit a written notice to community@chasefit.my containing:
   4. A description of the copyrighted work claimed to have been infringed;
   5. The location of the allegedly infringing material on the Services;
   6. Your contact details (name, address, telephone, and email);
   7. A statement that you have a good faith belief that the use is unauthorised; and
   8. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the copyright owner.
Upon receipt of a valid notice, Chase will investigate and, where appropriate, remove or disable access to the allegedly infringing material.
27.  Prohibited Uses of the Services
You must not access or use the Services in any manner that:
   9. Violates any applicable law or regulation;
   10. Infringes the intellectual property or other rights of any third party;
   11. Is fraudulent, deceptive, threatening, harassing, defamatory, or discriminatory;
   12. Involves scraping, crawling, or systematic data extraction from the Services;
   13. Compromises the security of any network or system;
   14. Involves the use of automated bots, scripts, or tools to access the Services;
   15. Bypasses any territorial or access restrictions; or
   16. Decompiles, reverse engineers, or attempts to obtain the source code of the Services.
Violation of this clause may result in immediate termination of your access and may be referred to the appropriate authorities.
PART I — THIRD-PARTY SERVICES AND TECHNOLOGY
28. Third-Party Links and Services
The Services may contain links to third-party websites, platforms, or services. Such links are provided for convenience only. Chase does not endorse, control, or accept responsibility for the content, accuracy, or privacy practices of any third-party site or service. Your access to and use of any third-party site is entirely at your own risk and subject to the terms of that third party.
29. Mobile Applications
   1. App Store Terms. The availability of the Chase mobile application is dependent on the platform from which you download it (Apple App Store or Google Play Store). You must comply with the applicable App Store terms before downloading the application.
   2. Apple App Store — Additional Terms. Where you access the Chase app via the Apple App Store:
      1. These Terms are between you and Chase only. Apple Inc. is not a party to these Terms.
      2. The app is licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis for personal, non-commercial use on Apple-branded devices you own or control.
      3. Apple has no obligation to provide maintenance or support for the app.
      4. In the event of any warranty failure, Apple’s sole obligation is to refund the purchase price, if any, paid for the app.
      5. Chase, not Apple, is responsible for addressing claims relating to the app, including product liability and consumer protection claims.
      6. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon your acceptance.
PART J — TERMINATION, LIABILITY, AND DISPUTES
30. Termination by You
You may terminate your account and cease using the Services at any time by contacting Chase at community@chasefit.my. Termination does not entitle you to any refund of prepaid credits or subscriptions, except as expressly provided in Clause 20. Your obligations under these Terms that are expressed or by their nature intended to survive termination will continue after termination.
31. Termination by Chase
   1. Right to Terminate. Chase reserves the right to suspend or permanently terminate your account and access to the Services at any time, with or without notice, for any reason including but not limited to:
      1. Breach of any provision of these Terms;
      2. Conduct that Chase reasonably believes to be harmful to other Members, staff, or Chase’s reputation;
      3. Non-payment of any amounts due; or
      4. Any fraudulent, abusive, or unlawful activity.
   2. Effect of Termination. Upon termination, your licence to use the Services is immediately revoked. Unused credits will be forfeited upon termination for breach. Where Chase terminates your account without cause, Chase will use reasonable efforts to return a prorated value of unused credits, at its discretion.
32. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. CHASE DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY RESULTS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE.
33. Limitation of Liability
   1. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE MALAYSIAN LAW, CHASE’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CHASE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
   2. Exclusion of Consequential Damages. IN NO EVENT SHALL CHASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION.
   3. Statutory Carve-Outs. NOTHING IN THESE TERMS LIMITS OR EXCLUDES CHASE’S LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY CHASE’S PROVEN NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE CONSUMER PROTECTION ACT 1999 (MALAYSIA) OR ANY OTHER APPLICABLE LAW.
34. Indemnification
You agree to indemnify, defend, and hold harmless Chase and its affiliates, officers, directors, employees, instructors, agents, and successors from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
   4. Your use of the Services or Facilities;
   5. Your breach of any provision of these Terms;
   6. Your violation of any applicable law or regulation;
   7. Your User Submissions; or
   8. Any activity conducted under your account by you or any third party.
35. Force Majeure
   1. Chase shall not be in breach of these Terms, nor liable for any failure or delay in performing its obligations, where such failure or delay arises from any cause beyond Chase’s reasonable control (“Force Majeure Event”). Force Majeure Events include but are not limited to:
      5. Natural disasters including floods, fires, earthquakes, and severe weather;
      6. Power outages or failure of essential utility services;
      7. Government-mandated closures, health orders, movement restrictions, or pandemic protocols;
      8. Acts of civil unrest, terrorism, or public emergency; and
      9. Any other event that renders the operation of Chase’s studios or Services impossible or unsafe.
   2. Chase’s Response. In the event of a Force Majeure Event, Chase will notify affected members as soon as reasonably practicable through the Chase app, website, or registered email. Chase’s response will be as follows:
      10. Classes affected by a Force Majeure Event will not result in credit forfeiture. All credits for cancelled classes will be preserved in the member’s account.
      11. Where a Force Majeure Event results in a temporary studio closure, Chase will, at its discretion, either freeze all affected memberships and extend validity accordingly, or credit affected members’ accounts with the equivalent of the missed period.
      12. No cash refunds will be issued as a result of a Force Majeure Event. Chase’s obligation is limited to credit preservation or membership extension as set out above.
36. Dispute Resolution
   1. Good Faith Negotiation. The parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or in connection with these Terms through good-faith negotiation, initiated by written notice to the other party. The parties shall negotiate in good faith for a period of 30 days following such notice.
   2. Arbitration. If a dispute cannot be resolved through negotiation within 30 days, the dispute shall be referred to and finally resolved by binding arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia, in accordance with the AIAC Arbitration Rules then in force. The arbitration shall be conducted:
      1. In English;
      2. Before a single arbitrator with experience in commercial disputes; and
      3. In Kuala Lumpur, Malaysia.
The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
   3. Interim Relief. Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent Malaysian court where necessary to prevent irreparable harm or protect intellectual property rights.
   4. Individual Claims Only. All disputes shall be resolved on an individual basis. You may not consolidate your claim with the claims of any other person or participate in a consolidated or class proceeding, to the extent permitted by applicable Malaysian law.
37. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Malaysia. Subject to the arbitration clause above, the parties irrevocably submit to the non-exclusive jurisdiction of the courts of Malaysia for the resolution of any dispute that is not referred to arbitration.
PART K — GENERAL PROVISIONS
38. Studio-Specific Operational Policies
   1. Lost and Found. Items found in Chase studios will be retained in the Lost and Found for 30 days. Unclaimed items will be donated to charity or disposed of, at Chase’s discretion. High-value items (including phones, wallets, jewellery, and personal identification) will be stored securely behind the front counter for 30 days. Chase is not liable for any lost, stolen, or damaged personal property. Members are encouraged to use the lockers provided.
   2. Towel Policy. Chase provides workout towels for all classes. Used towels must be placed in the designated collection bin located near the reception desk. Members are required to record the return of all towels on the provided log sheet to confirm compliance.. Shower towels are available upon request at reception for Members using the locker room facilities.
   3. Hydration. Only water is permitted in Chase studio workout spaces. No food or other beverages may be brought into the workout areas.
   4. Lockers. Personal belongings must be stored in the designated lockers during classes. Lockers are available for day-use only and must be vacated at the end of each visit. Chase reserves the right to clear all lockers nightly. Any items left overnight in lockers or on the shoe rack will be removed and held in accordance with Chase’s Lost and Found policy. Items unclaimed after thirty (30) days will be disposed of or donated at Chase’s discretion. Chase is not liable for any loss or damage to personal belongings left in lockers or on the shoe rack.
39. Taxes
You are responsible for all applicable taxes, duties, and governmental assessments arising from your use of the Services, except for taxes levied on Chase’s net income. Chase will collect SST where required by Malaysian law and remit it accordingly.
40. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Chase’s prior written consent. Chase may freely assign these Terms and its rights and obligations hereunder without your consent, including in connection with a merger, acquisition, or sale of substantially all of Chase’s assets.
41. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
42. Waiver
No failure or delay by either party in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof or the exercise of any other right or remedy.
   5. Participation in Off-Site Activities. From time to time, Chase may organise or facilitate outdoor fitness activities, including run clubs, community runs, and other events conducted in public spaces outside of Chase’s studio premises (“Off-Site Activities”).
   6. By registering for and participating in any Off-Site Activity, you acknowledge and accept the following:
      4. Inherent Risks. Off-Site Activities are conducted in public environments that present risks distinct from those within Chase’s controlled studio setting. These risks include but are not limited to:
         1. Uneven terrain, potholes, kerbs, wet or slippery surfaces, and other ground hazards;
         2. Exposure to live traffic and road conditions;
         3. Adverse weather conditions including heat, rain, and reduced visibility;
         4. Risk of collision with other pedestrians, cyclists, or vehicles;
         5. Limited access to immediate medical assistance; and
         6. Any other risks inherent to exercising in an uncontrolled public environment.
   7. Personal Responsibility. You are solely responsible for your own safety and conduct during all Off-Site Activities. This includes wearing appropriate footwear and attire, carrying sufficient hydration, and complying with all applicable traffic laws, pedestrian regulations, and safety instructions issued by Chase’s crew or event marshals.
   8. Assumption of Risk and Waiver. To the fullest extent permitted by applicable Malaysian law, you voluntarily assume all risks associated with your participation in Off-Site Activities and release Chase, its officers, employees, instructors, and agents from all claims, liabilities, and damages arising from such participation, including those resulting from the condition of public spaces, weather, or third-party conduct beyond Chase’s control.
      5. Chase does not accept liability for injury, loss, or damage arising from your participation in any Off-Site Activity unless directly caused by Chase’s proven negligence.
   9. Third-Party Conduct. Chase is not responsible for the actions of other participants, members of the public, motorists, or any third party encountered during Off-Site Activities.
43. Entire Agreement
These Terms, together with the Privacy Policy, Health Declaration (Schedule A), and any Additional Terms applicable to specific Services, constitute the entire agreement between you and Chase with respect to the Services and supersede all prior and contemporaneous agreements, understandings, representations, and negotiations, whether written or oral.
44. Governing Language
These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

[b]What are Chase’s specific cold plunge rules?  Maximum duration, temperature, mandatory shower before entry, any medical conditions that prohibit use, minimum age, whether supervision is required, and any other house rules you want enforced?
[c]7 degrees, – Shower is recommended before plunge if they are sweaty or oily.
– No lotions, oils, or body products right before plunge.
– No glass items, no food, no drinks at the plunge area.
– Follow staff instructions immediately,
1. **Confirm basics**
– Ask if it’s their first time.
– Remind them: start **1–3 minutes**, do not ego it.
2. **Entry guidance**
– Sit first, then lower in gradually.
– Keep breathing steady, no rushing.
3. **During plunge**
– Encourage calm breathing.
– Watch body language, if they seem distressed, ask them to exit.
4. **Exit guidance**
– Stand slowly.
– Dry off to avoid slipping.
– Rest a moment before heading out.

Any extension request beyond the limits above must go through management review and approval
